End-User License Agreement

1. Intro
This Agreement is between “you” and Arthur Schwarz & Maël Bächtold, whose Website is www.bolidsystem.ch.
In this document, “you” refers to the individual or legal entity accepting this EULA and entering into the Agreement. When applicable, roles such as Buyer, License Owner, or Subcontractor will be distinguished explicitly.
“You” can refer to the “Buyer,” the “License Owner,” or any “Subcontractors” interchangeably. For example, “you” could be the “Buyer” and “License Owner,” but not a “Subcontractor,” or “you” could be the “Buyer” and a “Subcontractor” but not the “License Owner.” Each client that the designer works with will require a separate license, where the client becomes the “License Owner” and the designer becomes a “Subcontractor.”
By purchasing, or downloading, or uploading, or sending, or installing, or using, or handling the digital typeface software (referred to as “Font” or “Fonts”), you are agreeing to the terms of this Agreement. By agreeing to these terms, you confirm that you have comprehended and will adhere to them.
This Agreement takes the place of and overrides any prior verbal or written suggestions or Agreements made between you and Arthur Schwarz & Maël Bächtold. It can only be modified if we agree in writing.
When you purchase the Fonts, you are acquiring a non-exclusive, non-transferable, worldwide license to use them as defined in this Agreement, unless specified on your invoice. However, you are not acquiring the copyright to the design or any other component of the Fonts. The copyright belongs to the original designer and will remain theirs, even if Arthur Schwarz & Maël Bächtold have customized the Fonts.
Provided that full payment of all fees has been received and the “License Owner,” any “Subcontractors,” and the “Buyer” have agreed to comply with the terms of the contract, we grant the “License Owner” a non-transferable, non-assignable, and non-exclusive license to use the Fonts for the purposes specified in this contract.
We will deliver the Fonts after we have received full payment. The Fonts folders are sent as zip file archives.
Ownership of the Fonts and all associated components remains with us, and any rights not explicitly granted by us in this contract are reserved.
This contract is governed by Swiss law, with exclusive jurisdiction in Neuchâtel, Switzerland. Any legal disputes or proceedings will take place in Neuchâtel, Switzerland. This contract is not subject to either the “United Nations Convention on Contracts for the International Sale of Goods” or the “United Nations Convention on the Law Applicable to International Sales of Goods” or any conflict of law principles.
You are responsible for any taxes that arise in your country, including any withholding taxes. We will not be obligated to pay such taxes, and they will not be deducted from your payments to us.
Sales are final. Our Fonts are non-returnable and non-refundable.
If any part of this contract is unenforceable, the rest remains valid, and the unenforceable portion will be replaced by the closest possible term that is enforceable.
The Buyer warrants that the License Owner has been informed of the licensing terms and accepts them. If the License Owner uses the Typeface beyond the agreed scope without a proper license, the Buyer assumes full responsibility for the misuse.
What this section means
By purchasing, you accept a non-transferable license under Swiss law: full payment required, sales are final (no refunds), and you are responsible for taxes and proper usage.
2. How it works
The only metric that matters for licensing our Fonts is the size of the client’s company. That means the total number of employees of the company. It includes temporary staff (contract workers, seasonal employees, interns, and employees hired through staffing agencies). This metric determines the “Company Size.”
Each Font license includes one “Subcontractor” by default. This allows the “License Owner” to authorize a single third party, such as an external designer, developer, producer, marketer, or other relevant party, to use the Fonts on their behalf. To allow other a third party to use the Fonts, the “License Owner” must purchase a Third Party License. This license grants permission to authorize a third party to use the Fonts on their behalf.
For instance, a designer uses our Fonts to create designs for their client. The license cost is contingent upon the size of client’s company, which is ascertained by the total number of its employees. In this context, the client’s company shall be regarded as the “License Owner,” whereas the designer shall be deemed a “Subcontractor” creating designs for the “License Owner”. The “Buyer” is the person who purchases the license, which could be the designer, the “License Owner,” or anyone else involved in the transaction.
What this section means
Licensing is based solely on your total company size (including interns and contractors); each license covers the License Owner and includes one external subcontractor by default.
3. Licenses categories
Our Fonts are licensed under a streamlined framework. The core license package, referred to as the “Universal License”, is available via self-service exclusively for companies with up to 50 employees.
The Universal License is All-Inclusive. It grants the License Owner the right to use the Fonts for all of the following usage types without restriction: Desktop/Print, Web (single domain), Social Media, Logo, Video, Signage, ePub/Magazine, App/Game, Product/Merchandising, Advertising, and Broadcast/TV.
Limitations: The self-service Universal License is strictly limited to companies with a total headcount of 50 employees or fewer (including temporary staff, interns, and contractors). If the License Owner exceeds 50 employees, the Universal License is not available via self-service. In such cases, or if specific unlimited terms are required, please contact us at info@bolidsystem.ch for a tailored license agreement.
Duration & Upgrades: The duration of every license is either perpetual or has a specified term, as explicitly indicated on your invoice. If the License Owner’s company size exceeds the limit stated in the Order Variables section of your invoice at any time, you are required to purchase a license upgrade immediately.
Legal Precedence: For marketing purposes, this package may be referred to as the ‘Universal License’ on our website or in our FAQ. However, for legal purposes, only the terms of this EULA apply. In the event of any discrepancy between our marketing materials and this Agreement, this EULA shall prevail.

The Universal License is an all-inclusive package for companies up to 50 employees, covering every usage type (Desktop, Web, App, Merch, TV, etc.) with no hidden add-ons.
4. License scope & categories
A. The Universal License (All-Inclusive but Exhaustive) For companies with up to 50 employees, the Universal License is a single package granting rights strictly limited to the following exhaustive list of usage types. Any use not explicitly listed below is prohibited unless covered by a separate Custom License (see Section 4B).
• Desktop/Print: Creation of static or digital assets for print (books, flyers, brochures) and internal digital documents.
• Web: Embedding fonts on a single web domain via @font-face (WOFF2 files only). Self-hosting required; cloud-hosting services excluded.
• Social Media: Creation of static graphics and video content for organic or paid posts on platforms like Instagram, TikTok, Facebook, YouTube, etc.
• Logo: Creation of a static logo/wordmark for a single brand.
• Video: Use in audio-visual content, motion graphics, streaming, films, and video billboards. Includes video content for social media.
• App/Game: Embedding fonts in a single mobile app, web app, or video game.
• Product/Merchandising: Use on physical goods for sale or promotion (apparel, packaging, accessories).
• Advertising: Use in ad campaigns, billboards, vehicle wraps, and HTML5 ads on third-party servers.
• Broadcast/TV: Use in television programs, live broadcasts, news, and streaming platform content (on-screen graphics, credits).
• Signage: Use in physical or digital signage within a specific geographic area (events, exhibitions, buildings).
• ePub/Magazine: Embedding in digital publications (eBooks, interactive PDFs) where extraction is prevented.
Important Restrictions within the Universal License:
• Single Entity: All rights apply to a single License Owner (company) only.
• Single Instance: Rights like Web, App/Game, and Logo are limited to one domain, one app, or one brand respectively. Additional instances require separate licenses or a Custom Agreement.
• No Modification: You may not modify the Font files or create derivative works.
B. Custom & Enterprise Licenses: For License Owners exceeding 50 employees, or for projects requiring terms outside the exhaustive list above (e.g., unlimited app installations, multi-domain web licenses, global buy-outs, or usage types not listed in Section 4A), the Universal License is not applicable. In such cases, a Custom License must be obtained. Please contact us at info@bolidsystem.ch.
C. Special Licenses (Trial & Student/Education) Specific license categories exist for non-commercial purposes and are governed by their own specific terms, separate from the Universal License:
• Trial License: Restricted to internal testing, pitching, and presentation purposes only. Strictly prohibited for any public-facing, commercial, or final production use.
• Student/Education License: Restricted to personal academic projects for currently enrolled students or educators. Strictly prohibited for any commercial use or self-promotion. Details for these licenses are provided at the point of download or purchase.
D. Third Party Collaboration The Universal License includes the right to share the Fonts with one external collaborator (Subcontractor) strictly for the licensed project. If the License Owner needs to authorize additional collaborators, a specific Third Party License Extension is required. This extension is not available via self-service; please contact us at info@bolidsystem.ch to arrange this.
What this section means
The Universal License is an all-inclusive yet exhaustive package designed for companies with up to 50 employees, granting every standard usage right (from Desktop to Broadcast) in a single fee while strictly limiting usage to the defined list. It applies to a single entity (one domain, one app, one brand) and includes one external collaborator by default; any additional instances or collaborators require a custom extension. For companies exceeding 50 employees or needing terms outside this scope (e.g., unlimited domains), a Custom Enterprise License is required. Separate Trial and Student licenses exist for non-commercial testing and academic projects only, with all commercial use strictly prohibited.
5. License Duration
The License granted under this EULA is either Perpetual or Annual, depending on what was purchased and specified in the invoice or purchase confirmation.
A Perpetual License grants the License Owner the right to use the Fonts indefinitely, under the terms of this EULA.
An Annual License grants the License Owner the right to use the Fonts for a duration of one (1) year from the date of purchase. Continued use beyond that period requires renewal of the License.
The duration of the License is indicated in the License Owner’s invoice, quote or purchase agreement.
What this section means
Licenses are either Perpetual (use indefinitely) or Annual (1-year term); if your company grows beyond the licensed size, an immediate upgrade is required.
6. Restrictions
Converting the Fonts to any format is not allowed.
Embedding the Fonts in a way that end-users can access them is not allowed.
Except as explicitly permitted by this license, it is not allowed to copy, transfer, market, hire, sub-license, distribute, loan, lease, sell, give, lend, or share in public or private any altered or unaltered version of the Fonts.
It is prohibited to use the Fonts for non-fungible tokens (NFTs).
It is prohibited to use the Fonts for the purpose of creating a modified or derivative product or design. This includes the creation of new characters for alphabets and languages that are not already included in the Font, as well as designing a customized version of the Font.
The Fonts may not be used for training, feeding, or evaluating any machine learning models, neural networks, or artificial intelligence systems, whether for commercial or non-commercial purposes.
Modifying, reverse-engineering, decompiling, or disassembling the Fonts is not allowed.
Personalising Font names in any manner is not allowed.
Placing the Fonts on public servers or in public repositories is not allowed.
Sharing the Fonts with third parties is not allowed unless you buy a Third Party license.
What this section means
Strictly prohibited: converting formats, embedding for extraction, creating NFTs, modifying files, sharing publicly, or using fonts to train any AI/machine learning models.
7. Breach of contract
If you violate this contract, all of your rights automatically terminate, and you must discontinue using the Fonts. Furthermore, you will be responsible for any costs we incur, such as legal fees, investigation expenses, and legal settlements, in addition to any legal recourse we pursue.
In the event that you are notified by us or otherwise become aware of a violation of this Agreement, you must take corrective action within 14 calendar days to remedy the situation. Failure to do so will result in the immediate termination of the Agreement. Please note that any uncorrected breach of the terms and conditions of this Agreement will result in the revocation of your license to use the Fonts.
Upon termination of this Agreement, you are required to promptly destroy all copies of the Fonts in your possession, including any archival copies and provide certification of the destruction to Arthur Schwarz & Maël Bächtold.
Arthur Schwarz & Maël Bächtold reserve the right to seek compensation equal to half of the total amount that should have been paid, with a minimum of CHF 5’000, unless actual damages can be demonstrated to exceed this amount. This amount serves as a fair estimate of anticipated loss, not as a punitive measure.
If the Fonts were used without first obtaining a license, the full cost of the license will be added to the penalty payment.
The Buyer, the License Owner, or any Subcontractors is responsible for all resulting costs, including legal fees and damages, in a proportionate and reasonable manner relative to the harm caused. In case of a dispute or violation of this EULA, you shall reimburse Arthur Schwarz & Maël Bächtold for all costs incurred.
Any payments relating to a breach of contract, including but not limited to penalties, licensing costs, and legal costs, are due within 7 calendar days from our sending of such invoices to you by email or otherwise.

Violations terminate your rights immediately and incur penalties; uncorrected breaches within 14 days lead to license revocation.
8. Warranties
We provide Fonts on an “as-is” basis, without any express or implied warranties or representations, such as fitness for a particular purpose, merchantability, performance, non-infringement, etc.
Our Fonts are not specifically designed or guaranteed to function properly in Windows environments. Arthur Schwarz & Maël Bächtold do not provide support for any issues arising from the use of our Fonts in Windows-based systems. If our Fonts do not work as expected in such environments, Arthur Schwarz & Maël Bächtold are not responsible for any related issues.
Our Fonts are produced using modern technology and, as such, we cannot guarantee their compatibility with older systems or outdated software. You are responsible for ensuring that the Fonts work correctly within their specific environment.

Fonts are provided 'as-is' with no warranty; we do not guarantee functionality on Windows environments and provide no support for Windows-specific issues.
9. Indemnification
You agree to indemnify and hold Arthur Schwarz & Maël Bächtold harmless from and against any claims or damage which may result from your misuse of the Fonts or breach of this Agreement.

10. Liability
Under no circumstances shall Arthur Schwarz & Maël Bächtold be held liable to you or any other third party for any direct, indirect, consequential, or incidental damages resulting from the use or inability to use the Fonts, even if given prior notice.
the event that applicable law imposes liability on Arthur Schwarz & Maël Bächtold despite the exclusions above (e.g., by court order), our total liability shall be strictly limited to a refund of the license fee received by us. You acknowledge that this limitation is fundamental to this Agreement.
Although we use modern technology to create and thoroughly test our Fonts, we cannot guarantee that they will function flawlessly on all outdated systems or with all cutting-edge technologies. If you experience any issues, please contact us at info@bolidsystem.ch.
In the event of any adverse or burdensome occurrence (such as a legal claim, lawsuit, injury, etc.) that involves us or the Fonts, you agree to defend us and ensure that such an event does not result in any loss or damage to us. You acknowledge that we are not liable, even if the Fonts, their use, or any damage was caused by us.
Neither party shall be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, pandemics, cyberattacks, or governmental actions. Obligations suspended by such events shall resume when performance becomes reasonably possible again.
What this section means
Our total liability is strictly limited to a refund of the license fee paid; we are not liable for indirect damages or business interruptions.
11. Communication
As soon as you make the use of the license public in any manner, Arthur Schwarz & Maël Bächtold are authorized to utilize your company’s name, along with other trademarks, images, and videos of the usage, solely for promotional purposes. However, if you do not wish to grant Arthur Schwarz & Maël Bächtold this privilege, you may signify your dissent by emailing us at info@bolidsystem.ch within a period of 7 calendar days after your purchase date.
What this section means
We are authorized to feature your project for promotion once public, unless you opt out by emailing us within 7 days of purchase.
12. Miscellaneous
If Arthur Schwarz & Maël Bächtold so requests, “you” are required to provide complete and accurate answers to questions regarding the equipment on which the Font is installed and the uses to which the Font has been put. This request may be made at any time during the term of the Agreement. Additionally, with at least twenty days’ notice, Arthur Schwarz & Maël Bächtold or a third party designated by Arthur Schwarz & Maël Bächtold may inspect “your” records and equipment to verify compliance with the terms of the Agreement. During the inspection, all information obtained will be kept confidential, except as reasonably necessary to enforce the Agreement.
Arthur Schwarz & Maël Bächtold may modify or amend this Agreement without prior notice, particularly in response to technical developments that may render any provisions obsolete or incomplete.

We reserve the right to audit your compliance with 20 days’ notice and may update this agreement to address technical changes without prior notice.
