& Conditions

1. Issuer

These General Terms & Conditions are issued by Arthur Schwarz & Maël Bächtold, whose Website is www.bolidsystem.ch.

2. Definitions and scope

In these General Terms & Conditions, “the User” refers to the ultimate end-user, whether acting in their own capacity or as a representative of a company or third party. If the User intends to obtain a license on behalf of another (e.g., an independent contractor securing a license for work performed for a company), the Agreement must be executed in the name of the company, and usage will be regulated by a Third-Party Addendum. All terms defined herein apply to the User Group as outlined in any related Addenda.

3. Non-acceptance of third-party terms

The Terms and Conditions of the User or any third parties shall not be applicable, even if Arthur Schwarz & Maël Bächtold do not object to their validity on a case-by-case basis. Any reference made by Arthur Schwarz & Maël Bächtold to a letter containing or referring to the terms and conditions of the Customer or a third party does not imply acceptance of the scope of those terms and conditions. Arthur Schwarz & Maël Bächtold reserve the right to unilaterally modify these Terms with prior notice to the User.

4. Professional use and formalities

Arthur Schwarz & Maël Bächtold conduct sales exclusively with professionals and businesses. The User affirms their comprehensive review and unequivocal acceptance of these General Terms & Conditions. Quotations are issued and acknowledged prior to the commencement of services. The prices stated in the quotation are net amounts, with no allowances for discounts on payments made before the specified due date. The User is required to use a professional email address when initiating a purchase or subscribing to a License from Arthur Schwarz & Maël Bächtold, adhering to legal formalities.

5. Order acceptance and cancellation

No order shall be executed or delivered without obtaining prior written consent from the User, as specifically indicated in the quotation prepared by Arthur Schwarz & Maël Bächtold. The User’s acceptance of this quotation, either through a signature or by placing an order, signifies their concurrence with the following stipulations: payment upon receipt of the invoice unless otherwise specified. In the event of cancellation after acceptance, expenses incurred will be invoiced with an additional 50% surcharge. Non-payment will automatically result in the termination, ipso jure, of any Agreement, Contract, or License previously granted, with any sums paid being retained. Failure to settle outstanding payments will lead to the suspension of services such as license issuance, delivery, downloads, and support without prior notice.

6. VAT and European Union Compliance

Arthur Schwarz & Maël Bächtold are not currently subject to VAT in Switzerland. Therefore, invoices are issued without VAT, regardless of the User’s location. This may change in the future, in which case the present Terms & Conditions will be updated accordingly.

7. Quotation validity and additional services

The prices stated in the quotation remain valid for two weeks from the date of issue. These prices are firm and unalterable, provided that the order conditions remain unchanged and the order is placed within this timeframe. Any services not expressly included in the quotation will require a subsequent quotation.

8. Transfer of exploitation rights and exclusivity

The transfer of exploitation rights, including limitations on term, media, and territory, is exclusive. The full production rights remain the exclusive property of Arthur Schwarz & Maël Bächtold until full payment is received. Unless otherwise specified in the quote, font or artwork rights are granted exclusively for Switzerland for one year. In the case of an exclusive licensing transfer, the User must actively use the rights, and substantial evidence of use must be provided. This Agreement will automatically terminate without liability to the User in case of bankruptcy, liquidation, insolvency, cessation of business, or other similar circumstances. The Agreement is personal to the User and cannot be transferred or assigned to a third party without Arthur Schwarz & Maël Bächtold’s written consent. Exclusivity will cease if, after formal notice, proof of use is not provided within one month.

9. Project timelines and delays

Quoted project timelines are estimates based on the assumption of timely client feedback and approvals. Delays in receiving feedback beyond the agreed deadlines may extend the project timeline. Substantial changes to the project scope or additional work requested after the initial agreement may necessitate a re-evaluation of the timeline and cost. If no feedback is received from the User for more than two weeks, the deliverable will be considered validated.

10. Publicity and commercial reference

Arthur Schwarz & Maël Bächtold retain the right to use the commercial reference “Bolid System (Maël Bächtold & Arthur Schwarz)” and to acknowledge the User’s work in external communications and advertising. The User agrees to include Arthur Schwarz & Maël Bächtold’s signature in any reproduction of the Font or creations, regardless of media or domain.

11. Specifications and rejections

All specifications, instructions, and guidelines from the User must be conveyed in writing. Any submissions not validated in writing within one week will be considered rejected and Arthur Schwarz & Maël Bächtold may make them available to third parties.

12. Intellectual property and cocument ownership

Any model, drawing, photograph, digital file, or contract document, irrespective of its format, remains the exclusive property of Arthur Schwarz & Maël Bächtold. These materials must be returned upon their utilization. The sharing of documents does not constitute permission for distribution.

13. Rights for broadcasting and reproduction

Prices may include charges for design, production, broadcasting, exploitation, reproduction, and representation rights. These rights are exclusively granted for the purposes specified in the quotation. Any additional use will require a new agreement and payment.

14. Exclusions from quotation

Unless otherwise specified, prices do not cover expenses such as art and documentation acquisition, technical production, printing of presentation materials, or ancillary production costs such as travel and external collaborator compensation.

15. Provision of copies

Upon request, the User must provide one or more copies of any medium using the Font, in its original published version.

16. Confidentiality

All information exchanged between the User and Arthur Schwarz & Maël Bächtold during the course of services is confidential. Both parties commit to refraining from disclosing such information to third parties.

17. User’s responsibility for provided materials

The User bears sole responsibility for the documents and texts supplied to Arthur Schwarz & Maël Bächtold. The User must hold Arthur Schwarz & Maël Bächtold harmless from any claims, disputes, or legal actions arising from third parties asserting conflicting rights over the materials.

18. Compliance verification and inspection rights

Upon request, the User must provide comprehensive responses about equipment and applications where the Font is installed. Arthur Schwarz & Maël Bächtold reserve the right to inspect the User’s records and equipment, either through its personnel or a designated third party, to verify compliance with the Terms of Service. Such inspections will be conducted with a minimum of twenty days’ prior notice.

19. Compliance with the DSA and AML Directive

The User affirms that they are not listed on any grey or blacklists associated with illegal activities. The User agrees to undergo identity verification in accordance with the “Know Your Business Customer” principle within the Digital Services Act (DSA) and Anti-Money-Laundering Directive (AML Directive).
